'Exclusive Agent' Announcements in the UAE: Claims, Registration, Launch

Before a UAE company calls itself the exclusive agent of a brand, three things have to line up: the agency register, the advertising rules and the partner's approval. On the advertising rules the sources disagree, so the wording needs care.

'Exclusive Agent' Announcements in the UAE: Claims, Registration, Launch — RX Insights
Key takeaways
  • Under Federal Law No. 3 of 2022, an agency not registered with the Ministry of Economy and Tourism is not valid, so register before you announce.
  • Match the territory and product scope in your copy to the register, emirate by emirate.
  • The Media Law's executive regulation bars claims of exclusivity in ads, while the agencies law makes exclusivity a registered status; no official guidance reconciles the two, so get your lawyer's written approval.
  • Tell your team, dealers and key accounts before the public, and have the brand page, sales replies and dealer kit ready.

When a UAE company signs to represent an international brand, the instinct is to announce it the same week, with both logos and the word “exclusive” in large type. In the UAE that needs a pause, because three sets of rules meet in that one word. The commercial agencies law decides whether your exclusivity exists in law at all. The media and advertising standards limit how exclusivity can be claimed in an advertisement. And your agreement with the principal decides what the partner lets you say and show.

This guide covers what to confirm before the announcement, how to word it, and the order in which dealers, customers and the public should hear the news. It is a marketing guide, not legal advice. Laws, fees and procedures change, so check the current texts and confirm with a UAE lawyer before you publish.

1. What “exclusive” means under the UAE agencies law

Commercial agencies are governed by Federal Law No. (3) of 2022 on Regulating Commercial Agencies, issued on 13 December 2022. It replaced Federal Law No. 18 of 1981. It took effect in mid-June 2023: Clyde & Co gives 15 June, while the Ministry’s January 2023 announcement and a 2025 summary by HAS Law Firm give 16 June. Several of its articles shape what a launch can safely say:

What the law saysWhat it means for the announcement
Article 3: the activity may be practised only by persons registered in the Commercial Agencies Register at the Ministry, and an agency not registered there “shall not be valid”.A signed contract is not enough on its own. Until the agency is registered, “exclusive agent” describes a commercial arrangement, not a registered agency.
Article 2: agents must, in general, be UAE nationals, companies wholly owned by them, or public legal persons and entities they own; UAE public joint-stock companies qualify where UAE nationals hold at least 51% of the capital. The Cabinet may allow an international company to act as agent for its own products, under conditions, where there is no existing agent.Check which of your group’s entities holds the agency. That is the name that belongs in the announcement and on co-branded material.
Article 4: the agent must be appointed by the original principal under a written, notarised contract, and the agency must be registered.Name the manufacturer as the principal. If you buy through a regional trading house, your arrangement may not be an agency in the sense of the law.
Article 7: a principal may appoint one agent for the whole country, one per emirate, or one for a group of emirates, and distribution is exclusive to that agent within its territory. The territory in your copy must match the registered territory. “Exclusive agent in the UAE” is wrong if you hold Dubai and the Northern Emirates only.
Article 20: goods covered by a registered agency may not be imported for trading by anyone other than the agent, and customs may release such imports only with the Ministry’s or the agent’s approval. The Ministry may allow temporary entry by reasoned decision. This is the practical value of registration and the main thing to explain to dealers: where to buy genuine stock, and who supports it.
Article 19: the agent must provide sufficient spare parts, tools and accessories to maintain durable goods, and maintenance services as agreed with the principal.After-sales support is a legal duty as well as a selling point. Do not promise service levels you have not built.

The law refers to the Ministry of Economy, which a June 2025 government change renamed the Ministry of Economy and Tourism (MoET). Registration is done through its Register Commercial Agency service. When we checked the page in October 2026, it listed a valid trade licence, the authenticated agency, distribution or exclusive representation contract (with a legal Arabic translation if it is not in Arabic), the signatory documents and, for first registrations, the memorandum of association. The contract must state the parties, the exclusivity, the area, the products and services and their commercial names, and the term. The page showed a fee of AED 7,500, payable after approval, and an average processing time of four working days. Check the page again before you plan dates.

The register can be checked by anyone: MoET’s commercial agency inquiry service searches by principal name or trade name, for a fee shown on the page as AED 150. Competitors, dealers and procurement officers can verify your claim. Register first, announce second.

2. Can you advertise yourself as the “exclusive agent”?

The sources do not give one clear answer. Here are both sides.

The case for caution

The UAE Media Law, Federal Decree by Law No. (55) of 2023, entered into force on 1 December 2023. Its executive regulation, Cabinet Resolution No. (68) of 2024, sets the conditions for advertising in Article 33. Clause 2 says advertisements must not contain incorrect or misleading claims, exaggeration, claims of exclusivity or disparagement of competitors. The regulation itself starts three months after publication; Al Tamimi & Company’s December 2025 summary says it has been effective since 31 October 2024 and repeats that advertisements “must also avoid misleading or false claims, exaggerations, assertions of exclusivity”. Read literally, the word “exclusive” in an advertisement is a risk.

The case for a factual statement

The agencies law treats exclusivity as a legal status, not a boast. Article 7 makes distribution exclusive to the registered agent in its territory, the Ministry’s own registration service refers to “exclusive representation” contracts, and the register is public. The same Article 33 also requires advertisements to be “factual and not exaggerated”, which suggests the target is overstatement, not accurate status. An earlier Al Tamimi note (February 2013) described the older standard in those terms, prohibiting “statements relating to uniqueness that have a tendency to deceive consumers”. On this reading, a registered agent stating its registered status is giving information, not making a claim.

What we could not find

We found no official guidance that says how the advertising rule applies to a company whose exclusive agency is registered under the agencies law. Until there is, ask your lawyer in writing before you sign off the campaign, and keep the answer on file.

The ladder below is our editorial reading of how exposure rises with the wording, not an official classification.

WordingOur reading of the exposure
“[Company] is the registered commercial agent of [Principal] in [territory].”A factual statement that matches the register. Lowest exposure, once registration is complete.
“Authorised distributor of [Principal] in [territory].”Accurate for distribution agreements that are not registered agencies, and while registration is pending.
“Exclusive agent of [Principal] in the UAE.”This is the wording the two sides above disagree on. Use it only if the registered territory and products support it, and only with your lawyer’s written approval.
“The only place to buy genuine [Principal] in the UAE.”Turns a status into a comparative claim about the market. It can be wrong in practice (stock already in the channel, older imports), and it reads like the exaggeration the standards warn against.
“Beware of fake [Principal] products sold by others.”Can be read as disparaging competitors. Leave enforcement to legal letters and customs, not to the campaign.

Treat superlatives such as “the leading” or “number one” the same way: if you cannot document a claim, cut it.

Media regulator update. The UAE Legislation portal announced on 18 December 2025 a decree-law creating the National Media Authority, which replaces the UAE Media Council. Check the authority’s current rules and guidance before the launch. If the campaign uses creators or paid partners, confirm their permit status first; our guide to the UAE Advertiser Permit for brands hiring creators covers it.

3. Agree the wording with the principal before any creative work

The agencies law does not govern how you use the principal’s brand; your contract and the principal’s partner policy do. Practice varies by manufacturer, but many have partner brand guidelines and an approval step for co-branded material. Before you brief a designer, ask in writing for:

  • The approved partner designation. Some principals use a set phrase such as “Authorised Partner” or “Official Distributor”, sometimes with a partner badge. If their phrase and your registered status differ, the register should win, and your lawyer should settle the gap with the principal.
  • Logo and lock-up rules, including whether an official Arabic form of the brand name exists. Do not transliterate it yourself if one does. Our guide to working within a manufacturer’s brand guidelines covers lock-ups, colour and approval in more detail.
  • The sign-off chain. Who approves what, and how long it takes. Build that review time into the launch dates.

Keep each approval on file with the approved version of the asset. Localising the partner’s catalogue and datasheets is covered in our Saudi distributor launch guide, and the same approach works in the UAE.

4. The launch sequence: who hears it, and in what order

An agency announcement has several audiences, and they should not all hear the news at the same time. A sequence that suits most B2B and technical brands:

  1. Internal readiness. Stock position, price list, warranty terms, the service contact and approved answers to the first questions customers will ask.
  2. Existing channel partners. A call or meeting with key dealers, sub-distributors and installers, followed by a formal letter. If dealers bought this brand elsewhere before, explain how supply, pricing and support work now.
  3. Key accounts and specifiers. Consultants, contractors and procurement teams who already specify or buy the brand need to know who quotes and supports it now.
  4. The public announcement. A post from the company page and the CEO’s profile on LinkedIn, a news item on your website, and versions for the other channels your buyers use, with Arabic and English copy written for each audience rather than translated line by line.
  5. Product content. In the weeks after, a run of content that shows the range and leads to the bilingual catalogue and a quotation request.
  6. The first in-person moment. A trade show, a launch event for consultants or a technical seminar with the principal’s engineer, which gives the announcement a second peak.

In Saudi Arabia, where the rules differ, RX built Azeidk’s Intersec Saudi Arabia 2024 campaign around this kind of second peak: a large-format series that announced each brand it represents, one at a time, inside one exhibition visual system, teasers counting down to opening day, and Arabic invitations to a client dinner during the show.

What the dealer letter should contain

  • The principal’s name, your registered company name, and the territory and product scope as they appear in the register.
  • The effective date, and what happens to orders and stock already in the channel.
  • How to order, the price-list date and the payment terms.
  • Warranty and after-sales arrangements, including spare parts and the service contact.
  • The approved visuals dealers may use, and the wording they may use about their own status. Most dealers are resellers, not agents, and their advertising should say so; the same advertising rules apply to them.
  • A named contact for questions.

Templates: the announcement line and the dealer-letter opening

Professional recommendation. These are drafting templates for your lawyer to review against your registration and your contract, not approved legal wording. Replace every bracket, and keep the territory and product scope exactly as they appear in the register.
UseEnglishArabic
Public announcement line, once registration is complete“[Company] is the registered commercial agent of [Principal] in [territory].”«[اسم الشركة] هي الوكيل التجاري المسجَّل لشركة [اسم الموكِّل] في [النطاق الجغرافي].»
While registration is pending, or for a distribution agreement that is not a registered agency“[Company] is an authorised distributor of [Principal] products in [territory].”«[اسم الشركة] موزِّع معتمد لمنتجات [اسم الموكِّل] في [النطاق الجغرافي].»
Dealer letter, opening paragraph“Dear [Dealer name], we are pleased to confirm that, with effect from [date], [Company legal name] is the registered commercial agent of [Principal] in [territory] for [product lines], as recorded in the Commercial Agencies Register of the Ministry of Economy and Tourism. From that date, orders, pricing and after-sales support for these products are handled by [Company]. The sections below explain ordering, stock already in the channel, warranty and the approved marketing materials you may use.”«السادة/ [اسم الموزع] المحترمين، تحية طيبة وبعد، يسرّنا أن نحيطكم علمًا بأنه اعتبارًا من [التاريخ] أصبحت [الاسم القانوني للشركة] الوكيلَ التجاري المسجَّل لشركة [اسم الموكِّل] في [النطاق الجغرافي] لمنتجات [خطوط المنتجات]، وفق قيدها في سجل الوكالات التجارية لدى وزارة الاقتصاد والسياحة.

Before use, check the Arabic against the principal’s official Arabic brand name.

5. What must be live on announcement day

If a buyer clicks through and finds nothing, the attention is lost. At minimum, have these ready before the public post:

  • The announcement visual and copy, approved by the principal and by your lawyer, in Arabic and English, with wording that matches the register.
  • A brand page on your website stating the principal, the range you carry, the registered territory and an enquiry path (form, phone, WhatsApp).
  • Approved sales replies for WhatsApp and email on availability, lead times, warranty and the difference between your stock and parallel imports, worded without disparaging other sellers.
  • The dealer kit: the letter, approved visuals and the reseller wording. Our sales kit for distributor teams lists what else dealers need to sell the range.

This is the work our distributor and product marketing service covers: launch campaigns, catalogues and price lists, datasheet layouts, dealer announcements and co-branded exhibition content, prepared under your brand and the partner’s guidelines. The client approves every piece before it goes out, and the client or its lawyer remains responsible for the registration itself. For exhibition work in the UAE, see our Intersec Dubai 2025 and 2026 partner booths.

6. A pre-publication checklist

  • Is the agency registered in the Commercial Agencies Register, and does the copy say “registered” only if it is?
  • Does the territory in the copy match the registered territory, emirate by emirate?
  • Does the product scope match the registered products? A contract for one product line does not cover the whole catalogue.
  • Has the principal approved the visual, the wording and the logo use, in writing?
  • Have you removed superlatives, “only” claims and any comment on competitors or other sellers?
  • Has your lawyer approved any use of “exclusive” in writing, in light of Article 33 of the Media Law’s executive regulation?
  • Have you checked the National Media Authority’s current rules, including permits for any creators or paid partners?
  • Is there a working page, a catalogue and a sales reply waiting for the people who respond?

If any checklist answer is “not yet” (registration pending, territory unclear, no principal sign-off), bring the agreement summary and your draft announcement to a business diagnosis session. We will set the launch order and the materials each audience needs, while your lawyer settles the wording.

Frequently asked questions

Do I have to register a commercial agency in the UAE?

Under Article 3 of Federal Law No. (3) of 2022, commercial agency activity may be practised only by persons registered in the Commercial Agencies Register, and an unregistered agency is not valid. Registration is done through the Ministry of Economy and Tourism's online Register Commercial Agency service. Check the current requirements and confirm with a UAE lawyer.

Who can be a registered commercial agent in the UAE?

In general, UAE nationals, companies wholly owned by them and public legal persons, plus UAE public joint-stock companies in which UAE nationals hold at least 51% of the capital. Under Article 2, the Cabinet may allow an international company to act as agent for its own products under set conditions.

Can I say "exclusive agent" in a UAE advertisement?

The sources point in different directions. Article 33 of the Media Law's executive regulation (Cabinet Resolution No. 68 of 2024) bars claims of exclusivity in advertisements, while the agencies law makes exclusivity a legal status recorded in a public register, and the same article asks for ads to be factual rather than exaggerated. We found no official guidance reconciling the two, so use wording that matches the register and get your lawyer's written approval. This is not legal advice.

Can one company be the agent for only part of the UAE?

Yes. Article 7 of the law allows a principal to appoint one agent for the whole country, one per emirate, or one for a group of emirates. Your announcements should state the registered territory exactly.

How can someone check whether a company is a registered agent?

The Ministry of Economy and Tourism offers a commercial agency inquiry service where anyone can search the register by principal name or trade name, for a fee listed on the service page.
